OpenAI-backed Thrive Holdings agrees to buy ADT for 15.3 billion dollars
The proposed deal would take the home-security company private and use long-term capital and engineering to improve its products and operations.

Thrive Holdings has agreed to acquire home-security provider ADT in an all-cash transaction valued at 15.3 billion dollars including debt. The deal values ADT’s equity at about 7.6 billion dollars and offers shareholders 10 dollars per share, a 45.6 percent premium to the unaffected closing price cited by the company.
If shareholders and regulators approve the transaction, ADT will become private and serve as the foundation of Thrive’s smart-home security business. Thrive says its permanent-capital structure will let it invest over a longer horizon than a conventional private-equity fund. Its engineering teams plan to work alongside ADT staff on products and operations.
Thrive has not announced a specific AI product for ADT. It has pointed to practical targets such as reducing false alarms, making alerts more informative and identifying equipment failures earlier. ADT says its privacy policies will remain unchanged and that no new data sharing will occur without customer permission.
The AI connection comes through Thrive’s relationship with OpenAI. TechCrunch reports that OpenAI is both an investor and partner, supplying models and forward-deployed engineers to Thrive-owned businesses. The deal therefore creates a large test of whether that model can modernize a consumer service with millions of installed devices, rather than merely adding a chatbot to existing software.
