Thrive Holdings, the long-term holding company spun out of Thrive Capital, has agreed to acquire ADT for $10 per share. The price values ADT’s equity at about $7.6 billion and the full enterprise at $15.3 billion.

The companies say ADT will become the foundation of Thrive’s smart-home security business. That puts a large installed base in professional home monitoring under an owner whose strategy is to buy established businesses and rebuild their operations and products around AI.

OpenAI is both an investor in and a partner to Thrive Holdings. According to TechCrunch, it supplies Thrive companies with models, technology and forward-deployed engineers who work directly on implementation. Thrive says it already holds more than 75 companies.

The announcement does not specify which AI-powered security products ADT will launch. That matters because the deal’s AI thesis is still a plan rather than a shipped product. The near-term story is the size of the bet: Thrive is applying the “buy and transform” model to a consumer service where reliability, privacy and physical safety are central.

ADT will test whether modern AI can improve monitoring, customer support and smart-home automation without weakening the trust required for security services.
