Nvidia is set to complete a $1 billion equity investment in Naver, the South Korean internet and cloud company. Naver disclosed the transaction in a regulatory filing, saying it will make Nvidia its third-largest shareholder.

The chipmaker is buying newly issued Naver shares through a rights offering. South Korea’s National Pension Service currently owns 9.49% of Naver, while BlackRock holds 7.31%. Local reporting says Nvidia’s stake will be roughly 4.5% once the deal closes.

The investment is tied to a strategic partnership between the companies to build a large global “AI factory.” Naver says it has secured at least $9 billion in computing infrastructure for the project, while Nvidia supplies the accelerator technology that will power it.

The deal is notable because it goes beyond a normal chip-supply agreement: Nvidia is taking a meaningful ownership position in one of South Korea’s largest internet companies. For Naver, the capital and access to Nvidia hardware could strengthen its cloud and AI services as competition intensifies. For Nvidia, the stake deepens its role in financing and shaping the infrastructure that consumes its chips.
