Nvidia reportedly strikes 7B USD licensing and investment deal with Poolside
The structure gives Nvidia access to Poolside’s coding-model factory while the startup remains formally independent.
Nvidia has reportedly struck a 7B USD licensing and investment deal with Poolside, the AI coding-model startup founded by former GitHub CTO Jason Warner and Eiso Kant. Newcomer says Nvidia will pay 6B USD for a non-exclusive license to Poolside’s Model Factory and invest another 1B USD at a 12B USD pre-money valuation.
The structure matters as much as the number. Poolside keeps operating as an independent company, while Nvidia gets access to the system behind Poolside’s Laguna coding models. Forkast, citing Newcomer and later confirmations it attributes to Bloomberg and The Information, says 109 Poolside employees are moving to Nvidia while the founders remain with Poolside.
For the AI market, this is another sign that Nvidia is not only selling the chips used to train and run models. It is using its balance sheet to secure pieces of the model-building stack itself: talent, software systems, and access to promising model factories.
The deal is also a reminder that the biggest AI transactions are increasingly being designed around licensing, investment and hiring rather than clean acquisitions. That can give buyers strategic control without the same regulatory path as a full takeover.
